Terms of Service

1. Acceptance of Terms

By accessing or using the TerraOptics platform at app.terraoptics.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and BioSync Industries, LLC ("BioSync Industries," "we," "us," or "our"), a company based in the Umpqua Valley, Oregon, operating the TerraOptics platform.

2. Description of Service

TerraOptics is a livestock management software-as-a-service (SaaS) platform that provides:

• Ranch management dashboards and operational tools
• Digital herd records, health tracking, and breeding history
• GPS satellite location tracking for livestock via integration with Ceres Tag hardware
• Custom ranch protocols and workflow configuration
• Multi-user access with role-based permissions
• Data visualization including maps, movement history, and analytics

The Service is provided on a subscription basis. Features and functionality may vary by plan tier and may be updated from time to time.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, including activity by users you invite to your ranch workspace
• Notifying us immediately of any unauthorized use of your account
• Ensuring that all users added to your workspace comply with these Terms

Account administrators are responsible for managing access permissions and ensuring that invited team members (ranch hands, veterinarians, managers) use the platform in compliance with these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes related to livestock management and ranch operations. You shall not:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Attempt to gain unauthorized access to other users' accounts, ranch data, or livestock records
• Interfere with or disrupt the integrity or performance of the Service
• Use GPS tracking data to track persons, vehicles, or any non-livestock assets without appropriate consent
• Upload malicious code, viruses, or harmful data to the platform
• Resell, redistribute, or sublicense access to the Service without written permission
• Use automated tools to scrape, harvest, or extract data from the platform

5. GPS Tracking & Livestock Data

TerraOptics integrates with Ceres Tag satellite GPS ear tags to provide location data for your livestock. By using the GPS tracking features, you acknowledge and agree that:

• Data accuracy: GPS location data is provided on a best-effort basis. Satellite coverage, terrain, weather, and hardware conditions may affect the accuracy, frequency, and availability of location data. TerraOptics does not guarantee real-time or continuous tracking.
• Not a substitute for husbandry: GPS tracking is a management tool, not a replacement for physical monitoring, veterinary care, or standard livestock husbandry practices. You remain solely responsible for the welfare and safety of your animals.
• Data ownership: You retain ownership of all livestock data, herd records, GPS location history, and ranch-specific information you input into or generate through the Service. We do not claim ownership of your data.
• Data use: We may use anonymized, aggregated data (with all personally identifiable and ranch-identifiable information removed) to improve our Service, develop new features, and generate industry-level insights. Individual ranch data is never shared, sold, or disclosed to third parties without your consent.
• Data retention: Upon account termination, you may request an export of your data. We will retain your data for 90 days following termination, after which it may be permanently deleted.

6. Intellectual Property

The Service, including its design, software, interface, features, documentation, branding, and all related intellectual property, is owned by BioSync Industries and protected by applicable copyright, trademark, and intellectual property laws.

Your use of the Service does not grant you any ownership interest in the platform or its technology. The TerraOptics name, logo, and associated marks are trademarks of BioSync Industries.

7. Third-Party Services

TerraOptics integrates with third-party hardware and services, including but not limited to Ceres Tag GPS ear tags and their satellite data infrastructure. You acknowledge that:

• Ceres Tag hardware is manufactured and sold by Ceres Tag Limited, a separate company. TerraOptics is not responsible for hardware defects, malfunctions, battery life, or physical performance of the tags.
• GPS data availability depends on Ceres Tag's satellite network and data delivery systems, which are outside of our control.
• Your use of Ceres Tag hardware may be subject to Ceres Tag's own terms of service and warranty policies.
• Service interruptions caused by third-party providers, satellite networks, or data transmission issues are not the responsibility of TerraOptics.

We work closely with our hardware partners to ensure reliable data flow, but we cannot guarantee uninterrupted service from third-party systems.

8. Subscription & Payment

Access to the Service is provided on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscription terms include:

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• We reserve the right to change pricing with 30 days' written notice
• Refunds are handled on a case-by-case basis at our discretion

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, BioSync Industries does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• GPS location data will be accurate, complete, or available at all times
• The Service will meet your specific requirements or expectations
• Any data transmitted through the Service will be free from loss or corruption

You use the Service at your own risk. Livestock management decisions should not be based solely on data from this platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOSYNC INDUSTRIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of livestock, injury to animals, or livestock health outcomes
• Loss of profits, revenue, data, or business opportunities
• Damages arising from GPS tracking inaccuracies or data gaps
• Damages caused by third-party hardware or satellite service failures
• Losses resulting from unauthorized access to your account

In no event shall our total liability exceed the amount you paid to TerraOptics in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

Either party may terminate this agreement at any time:

• By you: You may cancel your account at any time through your account settings or by contacting us at hank@terraoptics.io.
• By us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, fail to pay subscription fees, or if continued service is not commercially viable.

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 90 days of termination. After 90 days, we may permanently delete all data associated with your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Service shall be resolved in the state or federal courts located in Douglas County, Oregon. You consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users via email at least 30 days before material changes take effect
• Post a notice within the TerraOptics application

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and cancel your account.
